Introduction

These Reseller Terms and Conditions ("Reseller Terms") govern your participation in the Letterfied Reseller Programme, operated by Pipe Labs, LLC ("Company," "we," "us," or "our"). By enrolling as a Reseller, you agree to these Reseller Terms in addition to the Letterfied Terms of Service and Privacy Policy.

1. Reseller Programme Overview

The Letterfied Reseller Programme allows approved partners ("Resellers") to offer Letterfied email campaign and marketing automation services to their own end clients ("End Clients") under the Reseller's brand or the Letterfied brand, subject to the terms set out herein.

2. Eligibility and Enrolment

• You must be a registered business entity or sole trader.
• You must maintain an active Letterfied account in good standing.
• Reseller status is granted at our sole discretion and may be revoked at any time for breach of these Terms.
• You must complete onboarding and accept these Reseller Terms before activating End Client accounts.

3. Reseller Rights

As an approved Reseller you may:

• Offer Letterfied services to End Clients under agreed pricing.
• White-label the Letterfied interface under your own brand (Enterprise tier only).
• Create and manage sub-accounts for End Clients within your allocated sending volume.
• Set your own pricing to End Clients, provided it does not undercut our published retail pricing by more than 30% without prior written approval.
• Use Letterfied marketing materials with prior written approval.

4. Reseller Obligations

You agree to:

• Ensure all End Clients agree to Letterfied's Terms of Service and Anti-Spam Policy prior to use.
• Conduct appropriate due diligence on End Clients to ensure they are legitimate businesses.
• Not enrol End Clients in industries prohibited by our Acceptable Use Policy (gambling, adult content, pharma, firearms, cryptocurrency pump-and-dump schemes).
• Remain liable for the conduct of your End Clients on the Platform.
• Maintain your own support relationship with End Clients — we provide Tier 2 support to Resellers, not directly to End Clients.
• Notify us within 48 hours if you become aware of any End Client violating the Acceptable Use Policy.
• Ensure all End Client contact lists comply with CAN-SPAM, GDPR, CASL, and other applicable laws.

5. Pricing and Payment

5.1 Reseller Pricing

Resellers purchase sending credits and platform access at wholesale rates as set out in the Reseller Order Form. Wholesale rates are typically 20–40% below retail pricing depending on volume commitment.

5.2 Payment Terms

Reseller credits are prepaid and non-refundable. Credits allocated to End Client accounts are non-transferable back to the Reseller account once assigned.

5.3 Revenue Share (Optional)

Enterprise Resellers may elect a revenue share model in lieu of wholesale pricing. Terms are agreed in a separate Reseller Order Form.

6. Prohibited End Client Industries

Resellers must not onboard End Clients operating in the following categories:

• Unsolicited bulk email (spam) services.
• Adult content, pornography, or escort services.
• Gambling or online gaming (without appropriate licensing).
• Pharmaceutical or drug sales without verified licensing.
• Firearms, ammunition, or weapons.
• Multi-level marketing or pyramid schemes.
• Cryptocurrency or investment pump-and-dump schemes.
• Payday lending or predatory financial services.
• Political campaign advertising (without prior written approval).

7. Branding and White-Labelling

Standard Resellers must display "Powered by Letterfied" attribution on client-facing interfaces. Enterprise Resellers with approved white-label agreements may replace Letterfied branding with their own. You may not use the Letterfied name or logo in a way that implies endorsement beyond your authorised status as a Reseller.

8. Intellectual Property

Letterfied's platform, infrastructure, technology, and branding remain the exclusive property of Pipe Labs, LLC. These Reseller Terms do not transfer any intellectual property rights to you. You may not sub-licence, resell, or transfer the technology itself — only the services delivered through it.

9. Confidentiality

You agree to keep confidential all non-public information regarding Letterfied's pricing, technology, infrastructure, and business operations. This obligation survives termination of the Reseller relationship for a period of two (2) years.

10. Termination

Either party may terminate the Reseller relationship with 30 days' written notice. We may terminate immediately for breach of these Terms, violation of the Acceptable Use Policy, or conduct that brings the Letterfied brand into disrepute. On termination:

• Unused wholesale credits are non-refundable.
• You must notify End Clients of the service change within 7 days.
• We may, at our discretion, offer End Clients direct accounts at standard retail pricing.
• White-label agreements terminate immediately.

11. Liability

You are fully liable for the actions of your End Clients on the Platform. You agree to indemnify, defend, and hold harmless Pipe Labs, LLC from any claims, damages, fines, or penalties arising from your End Clients' use of the Platform, including violations of anti-spam laws.

12. Governing Law

These Reseller Terms are governed by the laws of the State of Delaware. Disputes shall be resolved by binding arbitration through the AAA in Wilmington, Delaware.
